1. Agreement to Terms
By accessing or using MechanicDesk AI ("the Service"), operated by Minch Solutions ("we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Service Description
MechanicDesk AI is an automated invoice processing platform designed for Australian auto repair workshops using MechanicDesk. The Service uses artificial intelligence to extract data from supplier PDF invoices and automate bill creation and purchase order matching within the MechanicDesk platform via browser automation.
The Service is provided as a software-as-a-service (SaaS) product accessible via web browser.
3. Account Registration
To use the Service, you must create an account by providing a valid email address and password. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Providing accurate and current account information
- Notifying us immediately of any unauthorised access
4. Free Trial
New accounts receive a 7-day free trial with up to 10 invoices. No credit card is required to start the trial. Once the trial period expires or the invoice limit is reached, you must subscribe to a paid plan to continue using the Service.
5. Subscription & Billing
Paid subscriptions are billed monthly through Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis. Available plans are:
- Starter — $79 AUD/month (200 invoices)
- Professional — $149 AUD/month (600 invoices)
- Enterprise — $249 AUD/month (1,000 invoices)
Invoice limits reset monthly from the date of subscription. Unused invoices do not roll over to the next month.
6. No Refunds
All sales are final. No refunds will be issued under any circumstances. You may cancel your subscription at any time, and you will retain access to the Service until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
7. MechanicDesk Credentials
To use the automation features, you must provide your MechanicDesk login credentials (Workshop ID, username, and password). These credentials are:
- Stored encrypted in our database
- Used solely for the purpose of automating invoice processing within your MechanicDesk account
- Never shared with third parties
You are responsible for ensuring you have the right to provide these credentials and authorise automated access to your MechanicDesk account.
8. Acceptable Use
You agree not to:
- Share your account with unauthorised users
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or disassemble the Service
- Upload malicious files or content
- Interfere with or disrupt the Service or its infrastructure
- Exceed your plan's invoice limits through automated or programmatic means
9. Data Accuracy & Liability
While our AI strives for 99%+ accuracy in invoice data extraction, we do not guarantee 100% accuracy. You are responsible for reviewing extracted data before triggering automation, and for reviewing all bills, purchase orders, and other records created or modified by the Service inside MechanicDesk. We are not liable for:
- Incorrect data extracted from invoices
- Bills or purchase orders created with inaccurate information
- Missed, incorrect, or unintended edits or actions performed by the automation within your MechanicDesk account
- Duplicate bills, altered purchase orders, changed stock or product records, or any other unforeseen changes to your MechanicDesk data
- Any financial loss resulting from automated actions taken by the Service
- Issues caused by changes to the MechanicDesk platform
10. Disclaimer — Use at Your Own Risk
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, except to the extent such warranties cannot be excluded under the Australian Consumer Law.
You use the Service entirely at your own risk. The Service performs automated actions inside your MechanicDesk account on your behalf and at your direction. You acknowledge and accept that:
- Automation may occasionally behave in unforeseen ways, including missing edits, creating duplicate or incorrect records, or taking unintended actions within MechanicDesk
- We accept no accountability or responsibility for any issues, losses, errors, or damages arising from your use of the Service or from actions taken by the automation in your MechanicDesk account
- It is your sole responsibility to review and verify every automated action, extracted value, bill, and purchase order before relying on it
- You are responsible for maintaining your own backups and records independent of the Service
11. Service Availability
We provide the Service on a "best effort" basis. We do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.
12. Limitation of Liability
To the maximum extent permitted by Australian law, Minch Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
13. Termination
We reserve the right to suspend or terminate your account at our discretion if you breach these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your access to the Service will cease at the end of the current billing period.
14. Modifications
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
